1 Definitions
In these Terms and Conditions:
- “Company” means Thor Helical (Aust) Pty Limited.
- “Customer” means the individual or entity to whom credit or goods are supplied.
- “Goods” means any items supplied by the Company.
- “Services” means any services provided by the Company.
- “PPSA” means the Personal Property Securities Act 2009 (Cth).
2. Application of Terms
These Terms apply to all sales of Goods and Services by the Company to the Customer. By applying for credit or placing an order, the Customer agrees to be bound by these Terms.
3. Pricing & Quotations
- All prices are in AUD and exclude GST unless stated otherwise.
- Quotes are valid for 30 days unless otherwise specified.
- The Company may adjust prices at any time for future orders without notice.
4. Orders
- Orders must be placed in writing or via approved methods.
- The Company reserves the right to reject or cancel any order.
5. Payment Terms
- Credit terms are strictly 30 days from the end of the month of invoice, unless otherwise agreed.
- Payment must be made in full, without set-off or deduction.
- Late payments may incur interest at 10% per annum, calculated daily from the invoice due date.
- Credit facilities may be suspended or withdrawn if payment terms are not met.
6. Retention of Title
- Ownership of Goods remains with the Company until full payment is received.
- Risk in the Goods passes to the Customer on delivery.
- The Customer grants the Company the right to register its security interest in the Goods under the PPSA.
7. Delivery
- Delivery times are estimates only; delays do not entitle the Customer to cancel an order.
- The Company is not liable for any loss resulting from late delivery.
- All Goods are shipped with a delivery docket, and invoices are sent via email.
8. Returns & Claims
- Goods may only be returned with prior written approval. A restocking fee may apply.
- Claims for damage, shortages, or incorrect supply must be made within 7 days of receipt of Goods.
- Returned Goods must be in original, saleable condition.
9. Limitation of Liability
- To the fullest extent permitted by law, the Company is not liable for any indirect or consequential loss.
- If a warranty applies, the Company’s liability is limited to repair, replacement, or refund of the affected Goods.
10. Force Majeure
The Company is not liable for failure to perform its obligations due to events beyond its control, including natural disasters, transport delays, or supplier shortages.
11. Guarantee & Credit Investigation
- Where applicable, a director's guarantee may be required to approve a credit account.
- The Customer consents to the Company conducting credit checks and obtaining relevant financial information from third parties.
12. Amendments
These Terms may be updated by the Company at any time. The latest version is always available at www.thorhelicalaustralia.com.au/terms. Continued use of the account or placement of orders constitutes acceptance of the current version.
13. Governing Law
These Terms are governed by the laws of New South Wales, Australia. The Customer submits to the jurisdiction of its courts.
